SEBI cracks down on rule manipulation in the stock market
The Securities and Exchange Board of India (SEBI) has taken strong regulatory action against prominent real estate company Omaxe Limited and several associated entities for violating minimum public shareholding norms. The market regulator has imposed a trading ban and significant monetary penalties on the company, its promoters, and group entities following a detailed investigation into artificial shareholding practices.
This strict enforcement underlines SEBI's ongoing commitment to maintaining market integrity, fairness, and protecting retail investors from deceptive corporate practices. Financial analysts note that such stringent actions reinforce investor confidence in the regulatory framework governing Indian capital markets.
Uncovering the artificial public shareholding mechanism
According to SEBI's investigation, Omaxe failed to naturally meet the mandatory 25 percent minimum public shareholding requirement. To circumvent this regulatory mandate, the company and its group entities devised an arrangement wherein funds were funneled to specific entities to purchase shares in the company.
These entities were subsequently projected as independent public shareholders on paper, creating a false impression of regulatory compliance. The regulator's exhaustive probe revealed that these transactions were pre-planned and executed solely to bypass legal requirements.
Tracing the fund transfers and offer for sale irregularities
SEBI's order detailed how Omaxe and its affiliates routed nearly 46.50 crore rupees through intermediaries like DVM Realtors, Garv Buildtech, and Jeet Builders. This money was ultimately utilized to subscribe to Omaxe's own shares during Offer for Sale (OFS) events in 2013.
The regulator noted that when adjusting for these company-funded share purchases, the actual public shareholding was significantly lower than the declared figures. For instance, public shareholding declared at 16.21 percent in June 2013 was actually closer to 14.57 percent.
Penalties and restrictions imposed on entities
As part of the strict enforcement order, Omaxe Limited has been barred from the securities market for three months. Promoters Rohtas Goyal and Jai Bhagwan Goyal, along with group firms Dream Home Developers and Guild Builders, face a one-year market ban.
Additionally, former Joint Managing Director Sunil Goyal has been restricted for a year, and a collective penalty of 1.92 crore rupees has been levied on the violators.
